1. Purpose

These Terms & Conditions (the "Terms") govern the access to and use of the Stepwize platform (the "Platform"), operated by PONTIVA EURL.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately.

Stepwize is a SaaS platform focused on collaborative workflow, communication, and operational management tools. The Platform enables organizations to capture, structure, and share operational procedures and guides.

Access to certain features of the Platform requires the creation of a user account. When creating an account, you agree to:

• Provide accurate, complete, and up-to-date information;
• Maintain the confidentiality of your login credentials;
• Notify PONTIVA EURL immediately of any unauthorized use of your account;
• Accept full responsibility for all activities conducted under your account.

PONTIVA EURL reserves the right to suspend or terminate any account that violates these Terms or is used in a manner that compromises the integrity of the Platform.

4. Acceptable Use

You agree to use the Platform in compliance with all applicable laws and regulations. The following uses are strictly prohibited:

• Any illegal, fraudulent, or harmful activity;
• Uploading content that is defamatory, offensive, or violates third-party rights;
• Attempting to gain unauthorized access to the Platform's systems or other users' accounts;
• Interfering with the proper functioning of the Platform (including DDoS attacks, injection attempts, or automated scraping);
• Using the Platform to distribute malware or unsolicited communications;
• Reverse engineering, decompiling, or disassembling any part of the Platform.

5. Intellectual Property

The Platform, including its source code, design, functionality, documentation, and all associated intellectual property, is the exclusive property of PONTIVA EURL.

Users retain ownership of the content they create and upload to the Platform. By uploading content, you grant PONTIVA EURL a limited, non-exclusive license to host, display, and process that content solely for the purpose of providing the Platform's services.

6. Platform Availability

PONTIVA EURL endeavors to maintain the Platform available 24 hours a day, 7 days a week. However, access may be interrupted without prior notice for maintenance, updates, or reasons beyond our control.

PONTIVA EURL shall not be liable for any service interruptions, whether planned or unplanned, and does not guarantee uninterrupted or error-free access to the Platform.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Platform is provided "as is" without warranties of any kind, express or implied;
• PONTIVA EURL shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Platform;
• Where no paid subscription exists, PONTIVA EURL's total liability shall be limited to the maximum extent permitted by French law.

8. User Responsibilities

Users are solely responsible for:

• The content they create, upload, or share via the Platform;
• Ensuring their use complies with all applicable laws and regulations;
• Maintaining adequate security measures for their account credentials;
• Backing up their own data as appropriate.

9. Suspension and Termination

PONTIVA EURL reserves the right to suspend or terminate access to the Platform, with or without notice, in the event of:

• Violation of these Terms;
• Conduct that may harm PONTIVA EURL, other users, or third parties;
• Extended inactivity as defined by applicable platform policies;
• Legal or regulatory requirements.

Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination shall remain in effect.

10. Modification of Terms

PONTIVA EURL reserves the right to modify these Terms at any time. Material changes will be communicated to users via the Platform or by email. Continued use of the Platform following such notification constitutes acceptance of the modified Terms.

11. Applicable Law and Jurisdiction

These Terms are governed by and construed in accordance with French law. Any dispute arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Quimper, France, subject to applicable mandatory rules of jurisdiction.

12. Platform Access and Pricing

Access to the Platform is currently provided without active subscription or payment obligations. PONTIVA EURL reserves the right to introduce paid features or subscription plans in the future. Users will be informed in advance of any such changes, and continued use of paid features will constitute acceptance of the applicable commercial terms at that time.
